3. Approval of Catherine Peet as an Honorary Member of the Society
Catherine is the daughter of Tim Peet and together they administer the Sarnia Charitable Trust. Tim Peet is already an honorary member and Council wish to also extend honorary membership to Catherine.
4. Law change: Addition of wording specifically mentioning the ability to hold AGMs online
Council feel a minor change to our laws that clarifies that the AGM will usually be held at a physical location, but reserving the right for Council to decide to hold it online in exceptional circumstances would be useful (current law below, suggested additional text in red).
“Law 24. An Annual General Meeting of the Society shall be held each year, not later than June 1st, and not less than 21 days notice having been given to members. The AGM may be held in-person at a physical location or, if Council deem there are exceptional circumstances, held as an online meeting. The Meeting shall serve for the election of officers and Council, to receive the Report of the Council on the previous year’s activities, and to conduct such other business as is provided for in these Laws. Notice of the Meeting shall normally be given in writing to members at their last address as shown in the Secretary’s records, but in circumstances which in the view of the Council are considered exceptional, may be given by advertisement in a daily or weekly newspaper published in Norwich. The quorum necessary at an Annual General Meeting shall be 5 percent of the membership or 25 members whichever is greater.”
5. Re-appointment of Martyn Benstead as the Society’s Independent Examiner
Each year the Society submits its accounts for independent examination, and Council proposes the reappointment of its regular Independent Examiner for the following year.
